簡介:廈門大學學位論文原創(chuàng)性聲明本人呈交的學位論文是本人在導(dǎo)師指導(dǎo)下,獨立完成的研究成果。本人在論文寫作中參考其他個人或集體已經(jīng)發(fā)表的研究成果,均在文中以適當方式明確標明,并符合法律規(guī)范和廈門大學研究生學術(shù)活動規(guī)范試行。另外,該學位論文為課題組的研究成果,獲得課題組經(jīng)費或?qū)嶒炇业馁Y助,在實驗室完成。請在以上括號內(nèi)填寫課題或課題組負責人或?qū)嶒炇颐Q,未有此項聲明內(nèi)容的,可以不作特別聲明。聲明人簽名加A年6月F口曰摘要為了改變我國資本市場上市公司股價二元化的不利局面,達到同股同價同股同利的目的,2005年開始的股權(quán)分置改革,針對國有股,法人股流通比例少的情況,開放流通限制達到上市全流通。三分之二不能流通的國有股,法人股和限制流通股逐漸擺脫對資本市場的制約作用步入流通行列。企業(yè)利用資本市場的調(diào)節(jié)作用優(yōu)化資源配置,影響公司運營機制,盈利方式和提升競爭渠道。在股權(quán)改制之前,上市的國有企業(yè)或國有控股企業(yè)資源流動性差,資源使用效率低,人員平均專業(yè)能力有限,常常是解決就業(yè)的最后保證,企業(yè)績效的提高受社會穩(wěn)定需求影響具有一定的局限性。本文選擇交通運輸業(yè),社會服務(wù)業(yè)作為研究樣本,兩者在改革之前屬于傳統(tǒng)的壟斷性行業(yè)。有三個顯著特點第一,屬于壟斷控制下的競爭;第二,包含不同程度的社會性和盈利性;第三,對國民經(jīng)濟有重大影響作用。以這兩個行業(yè)的股權(quán)結(jié)構(gòu)描述其對企業(yè)績效的影響,既具有一致性也具有可比性。在改革開放后融入了新興的民營企業(yè),呈現(xiàn)壟斷與競爭并存的局面。我國資本市場上市公司國有企業(yè)居多,壟斷中存在競爭,三個行業(yè)具有較強的代表性。近幾年文章多為比較股權(quán)分置改革前后對企業(yè)經(jīng)營績效的影響。本文根據(jù)改制后現(xiàn)階段股權(quán)結(jié)構(gòu)存在的性質(zhì),股權(quán)持有人的身份,所持有比例的分布,構(gòu)建回歸模型。選取2006年至2010年滬深兩市A股數(shù)據(jù),以公司特征,董事會特征,管理層持股等作為控制變量,描述第一大股東、企業(yè)性質(zhì)、機構(gòu)投資者持股對企業(yè)績效的影響趨勢,得到交通運輸業(yè),社會服務(wù)業(yè)股權(quán)結(jié)構(gòu)對企業(yè)績效影響具有行業(yè)相似性。兩個行業(yè)第一大股東持股比例與企業(yè)經(jīng)營績效呈顯著正相關(guān),企業(yè)國有性質(zhì)與經(jīng)營績效呈顯著正相關(guān),機構(gòu)投資者持股比例與企業(yè)績效呈負相關(guān)且不顯著。關(guān)鍵詞股權(quán)結(jié)構(gòu);企業(yè)績效第一大股東;企業(yè)性質(zhì);機構(gòu)持股
