5、ramsotherwksofauthshipknowhowimprovementsdiscoveriesdevelopmentsdesignstechniques(hereinaftercollectivelyreferredtoas“Inventions“)(b)infmationregardingplansfresearchdevelopmentnewproductsregulatymattersmarketingsellingbu

6、sinessplansbudgetsunpublishedfinancialstatementslicensespricescostssupplierscustomersinfmationregardingtheskillscompensationofotheremployeesoftheCompany.2.THIRDPARTYINFMATIONIunderstinadditionthattheCompanyhasreceivedint

7、hefuturewillreceivefromthirdpartiesconfidentialproprietaryinfmation(“ThirdPartyInfmation“)subjecttoadutyontheCompanysparttomaintaintheconfidentialityofsuchinfmationtouseitonlyfcertainlimitedpurposes.Duringthetermofmyempl

8、oymentthereafterIwillholdThirdPartyInfmationinthestrictestconfidencewillnotdisclosetoanyone(exceptinconnectionwithmywkftheCompany)unlessexpresslyauthizedbyanexecutiveofficeroftheCompanyinwriting.3.ASSIGNMENTOFINVENTIONS3

9、.1ASSIGNMENTIherebyassigntotheCompanyallmyrighttitleinterestintoanyallInventions(allpatentrightscopyrightstrademarkstradesecretrightsallotherrightsthroughoutthewldinconnectiontherewiththegoodwillassociatewithallofthefego

10、ing(collectively“ProprietaryRights“)whethernotpatentableregistrableunderpatentcopyrighttrademarksimilarstatutesmadeconceivedreducedtopracticelearnedbymeeitheralonejointlywithothersduringtheperiodofmyemploymentwiththeComp

11、any.InventionsassignedtoasdirectedbytheCompanyunderthisParagraph3ishereinafterreferredtoas“CompanyInventions.“IagreeuponrequesttoexecuteverifydeliverassignmentsoftheProprietaryRightstotheCompanyitsdesigneeIherebyappointt

12、heCompanymyattneyinfactwithrespecttotheProprietaryRightsfthepurposeofeffectinganyalloftheCompanysrightstouseoftheProprietaryRights.4.ENFCEMENTOFPROPRIETARYRIGHTS.FpurposesofSection8.1abovetheterm“Business“shallmean:Const

13、ructionofroadbridgeoilfacilitiesinstallationofpipelinetanksdrillingmaintainingofoilgaswaterwellswkoverofrigsequipmentsgeophysicalprospectinganticrosionservicescementmudservicesfoilwellsgaswells.9.NOIMPROPERUSEOFMATERIALS

14、DuringmyemploymentbytheCompanyIwillnotimproperlyusediscloseanyconfidentialinfmationtradesecretsifanyofanyfmeremployeranyotherpersontowhomIhaveanobligationofconfidentialityIwillnotbringontothepremisesoftheCompanyanyunpubl

15、isheddocumentsanypropertybelongingtoanyfmeremployeranyotherpersontowhomIhaveanobligationofconfidentialityunlessconsentedtoinwritingbythatfmeremployerperson.10.NOCONFLICTINGOBLIGATIONNOMISREPRESENTATIONIrepresentthatmyper

16、fmanceofallthetermsofthisAgreementmyperfmanceofmydutiesasanemployeeoftheCompanydonotwillnotbreachanyagreementtokeepinconfidenceinfmationacquiredbymeinconfidenceintrustpritomyemploymentbytheCompany.IhavenotenteredintoIagr

17、eeIwillnotenterintoanyagreementeitherwrittenalinconflictherewith.IfurtheragreethatIwillnotmisrepresentinanymannermytitlethenatureofmycurrentroleresponsibilitiesattheCompanytoanypotentialfutureemployer.11.RETURNOFCOMPANYD

18、OCUMENTSWhenIleavetheemployoftheCompanyIwilldelivertotheCompanyanyalldrawingsnotesmemaspecificationsdevicesfmulasmoleculescellsstagemediaincludingsoftwaredocumentscomputerprintoutstogetherwithallcopiesthereofanyothermate

19、rialcontainingdisclosinganyInventionsThirdPartyInfmationProprietaryInfmationoftheCompany.IfurtheragreethatanypropertysituatedontheCompanyspremisesownedbytheCompanyincludingdisksotherstagemediafilingcabisotherwkareasissub

20、jecttoinspectionbyCompanypersonnelatanytimewithwithoutnotice.12.LEGALEQUITABLEREMEDIESBecausemyservicesarepersonaluniquebecauseImayhaveaccesstomaybecomeacquaintedwiththeProprietaryInfmationoftheCompanytheCompanyshallhave

21、therighttoenfcethisAgreementanyofitsprovisionsbyinjunctionspecificperfmanceotherequitablereliefwithoutbondwithoutprejudicetoanyotherrightsremediesthattheCompanymayhavefabreachofthisAgreementIwaivetheclaimdefensethattheCo
