1、WARRANTYOFQUALITYFWKMANSHIPOFVESSEL1.GUARANTEEOFMATERIALWKMANSHIP材料和工藝的保證TheSELLERfaperiodoftwelve(12)monthsfromtheDeliveryDateguaranteestheVESSELherhullmachineryallpartsequipmentthereofthataremanufacturedfurnishedsuppli

2、edbytheSELLERitssubcontractsunderthisContractincludingmaterialequipment(excludinganypartsftheVESSELwhichhavebeensuppliedbyonbehalfoftheBUYER)againstalldefectswhichareduetodefectivematerialspowkmanshipfaultydesignconstruc

3、tionalmiscalculation.在賣方將本船交付給買方后12個月內，賣方保證對本船，其船體、機械設備及其所有部件和所有由賣方和或本合同中的其分包商制作完成或提供的包括材料、設備（但由買方或以買方名義提供的任何部件除外）發(fā)生因材料缺陷、制作工藝錯誤和或設計錯誤和或構建錯誤引起的缺陷承擔責任。Anyadditionalguaranteeperiodinexcessoftwelve(12)monthsofferedbyanymanu

5、的通知TheBUYERshallnotifytheSELLERinwritingbytelefax(confirmedinwriting)aspromptlyaspossibleafterdiscoveryofanydefectdeviationsfwhichaclaimismadeunderthisguarantee.TheBUYERswrittennoticeshalldescribethenatureofthedefectthee

6、xtentofthedamagecausedthereby.TheSELLERshallhavenoobligationunderthisguaranteefanydefectsdiscoveredpritotheexpirydateoftheguaranteeunlessnoticeofsuchdefectsisreceivedbytheSELLERnotlaterthanthirty(30)daysaftersuchexpiryda

7、te.Telefaxedadvicewithinthirty(30)daysaftersuchexpirydatewithbriefdetailsexplainingthenatureofsuchdefectextentofdamagestatingthataclaimisfthcomingwillbesufficientcompliancewiththerequirementsastotime.IftheBUILDERbecomesa

8、wareofdefectivematerialsaseriousdefectinthedesignconstructionoftheVESSELanyothervesselbuiltbytheBUILDERtheBUILDERshallimmediatelynotifytheBUYERinwritingbytelefax.買方發(fā)現屬于本保證范圍內據以索賠的缺陷或偏差后，應立即以書面或書面確認的電傳通知賣方。在買方的書面通知中應詳細說明缺

9、陷的性質和由此引起損壞的程度。賣方在保證期到期后三十天內未收到缺陷通知，賣方對保證期到期之前發(fā)現的缺陷不承擔義務。在保證期到后三十天內應電傳通知發(fā)生的缺陷，需要說明缺陷的性質和損壞的程度，則隨后的索賠視為符合要求。如果建造方發(fā)現本船或其它由建造者建造的船舶有材料缺陷或設計缺陷或建造缺陷，建造方應立即以書面形式和通過電傳通知買方。3.REMEDYOFDEFECTS缺陷的修復TheSELLERshallremedyatitsexpensea

10、nydefectsagainstwhichtheVESSELanypartoftheequipmentthereofisguaranteedunderthisArticlebymakingallnecessaryrepairsreplacement.SuchrepairsreplacementwillbemadebytheSELLER.賣方應自行對本條所保證的本船或設備的任何部分所發(fā)生的缺陷進行必要的修復和或更incaseseafrei

11、ghtcannotmeetship’sscheduleprovidedthattheBUYERalreadynotifiedsuchscheduletotheBUILDERinadvanceatleasttwoweeks.FanypartswkmanshiprepairedreplacedunderthisclausetheBUILDERshallgivefsuchreplacedrepairedpartswkmanshipaguara

12、nteeofafurtherperiodoftwelve(12)monthshowevertheaggregateguaranteedperiodshallnotexceedeighteen(18)months.根據此保證條款，賣方有必要寄發(fā)更換有缺陷的部件，所更換的部件應在海運費預付的前提下運送至根據買方指示指定的港口或地方。在海運不適合船舶日程安排表的情況下，此日程安排買家需至少提前兩周通知賣家，航空運輸亦許可。對于適用本條款進行的

13、工藝維修或者部件更換，賣家應對維修或者更換的部件延長12個月的保證期，但總的保證期限最多不超過18個月。ItisunderstoodthattheBUYERhasrighttoarrangerelevantrepairreplacementbythemselvesatareasonablecost(tobeSELLER’saccount)mutuallyagreedbybothpartiesprovidedthatthesamedefe

14、ctappearedtwicemeduringsuchguaranteedperiod(18months)howevertheBUYERshouldgivethenoticetotheBUILDERinadvanceinsuchcasetheBUILDERshallhavenoobligationliabilitieswithrespecttothesamedefectappearedthereafter在雙方同意的情況下，當同一缺陷在

15、此保證期（18個月）內兩次或多次出現時，買方有權安排合理成本下的相關維修和部件更換（賣方承擔費用），但應提前通知賣方，在此之后再出現的相同缺陷，賣方不再承擔任何責任和或義務。4.EXTENTOFTHESELLERSLIABILITY賣方的責任范圍TheSELLERshallhavenoobligationliabilitieswithrespecttodefectsdiscoveredaftertheexpirationoftheper

16、iodofguaranteespecifiedabove.TheSELLERshallbeliabletotheBUYERfdefectsdamagescausedbyanyofthedefectsspecifiedinclause1ofthisArticleprovidedthatsuchliabilityoftheSELLERshallbelimitedtodamageoccasionedwithintheguaranteeperi

17、odspecifiedinclause1ofthisArticle.TheSELLERshallnotbeobligatedtorepairtobeliablefdamagestotheVESSELtoanypartoftheequipmentthereofduetodinaryweartearcausedbythedefectsotherthanthosespecifiedinclause1ofthisArticlenshallthe

18、rebeanySELLERsliabilityhereunderfdefectsintheVESSELanypartoftheequipmentthereofcausedbyfireaccidentsatseaelsewheremismanagementmisoperationaccidentsnegligencewilfulneglectonthepartoftheBUYERitsemployeesagentsincludingthe

19、VESSELsofficerscrewpassengersanypersonsondoingwkontheVESSELotherthantheSELLERitsemployeesagentssubcontracts.LikewisetheSELLERshallnotbeliablefdefectsintheVESSELtheequipmentanypartthereofduetorepairsreplacementwhichwereno

20、tmadebytheSELLERtheirsubcontractswithpriconsentoftheSELLER.賣方對在上述擔保期滿后發(fā)現的缺陷不負責任。賣方對由于本條第一款所述原因引起缺陷或損壞負責，賣方責任局限于上面第一款中規(guī)定的擔保期內，由于一般磨損或不是由于上面第一款中規(guī)定的缺陷而導致的該船設備損壞，賣方無義務修理。發(fā)生在海上或其他地方的火災、意外事故、或錯誤處理事故、疏忽或故意疏忽，是由買方及其雇員、代理人，包括該船官員
