董事法律責(zé)任制度研究.pdf

1、在現(xiàn)代公司中，公司所有權(quán)和經(jīng)營(yíng)權(quán)的分離是不爭(zhēng)的事實(shí)，而這種分離的狀態(tài)對(duì)公司的行為產(chǎn)生了直接影響，即帶來(lái)公司的所有者和經(jīng)營(yíng)者所代表的兩種權(quán)利、兩種利益之間的競(jìng)爭(zhēng)。而在這種個(gè)人利益和公司利益存在沖突的情況下，經(jīng)營(yíng)者可能為追求自身利益的最大化而偏離或犧牲公司的利益。董事作為公司經(jīng)營(yíng)者的重要組成部分，處于公司治理的核心地位，公司董事?lián)碛泄镜慕?jīng)營(yíng)決策權(quán)和業(yè)務(wù)執(zhí)行權(quán)。但是在現(xiàn)代公司制度的發(fā)展進(jìn)程中，董事和董事會(huì)的權(quán)利呈現(xiàn)不斷擴(kuò)張的趨勢(shì)，在我國(guó)目前

2、的公司運(yùn)作過(guò)程中，以董事為首的公司經(jīng)營(yíng)者實(shí)施的違法違規(guī)行為屢見(jiàn)不鮮。但公司或投資者往往由于缺乏相應(yīng)的法律規(guī)定和有效的責(zé)任追究機(jī)制而放棄追究董事的責(zé)任，使得公司董事的義務(wù)和責(zé)任的規(guī)范和強(qiáng)化成為事關(guān)公司運(yùn)營(yíng)質(zhì)量的關(guān)鍵問(wèn)題之一，作者試圖在借鑒國(guó)外關(guān)于董事法律義務(wù)和責(zé)任相關(guān)規(guī)定的基礎(chǔ)上，結(jié)合我國(guó)立法和公司制度發(fā)展的現(xiàn)狀，對(duì)我國(guó)公司董事法律責(zé)任制度的構(gòu)建做出探討。 全文共分為三個(gè)部分。第一部分，分析了建立公司董事法律責(zé)任制度的原因及意義，

3、并探討了董事承擔(dān)的法律責(zé)任的性質(zhì)及董事法律責(zé)任制度建立的目標(biāo)追求。 第二部分，對(duì)董事法律責(zé)任制度建立的具體問(wèn)題進(jìn)行了分析。筆者在對(duì)董事與公司之問(wèn)的法律關(guān)系、董事所承擔(dān)的忠實(shí)義務(wù)和注意義務(wù)及董事承擔(dān)法律責(zé)任的形式進(jìn)行分析的基礎(chǔ)上，探討了我國(guó)目前關(guān)于董事義務(wù)和法律責(zé)任規(guī)定的不足，提出了強(qiáng)化董事法律責(zé)任需要解決的問(wèn)題及具體的完善。 第三部分，探討了董事法律責(zé)任追究中涉及到的幾個(gè)具體問(wèn)題。主要包括董事法律責(zé)任的追究主體、董事法律

4、責(zé)任追究的歸責(zé)原則、董事減免責(zé)任以及降低正常經(jīng)營(yíng)風(fēng)險(xiǎn)的事由以及董事民事法律責(zé)任規(guī)定的強(qiáng)化。通過(guò)這些問(wèn)題的探討，以確保董事法律責(zé)任制度的有關(guān)規(guī)定在實(shí)踐中得到真正的落實(shí)。 作者試圖在公司董事法律責(zé)任的制度化方面有所突破，對(duì)公司董事法律責(zé)任制度化過(guò)程中需要解決的問(wèn)題和采取的措施等方面提出自己的建議，以期促進(jìn)我國(guó)公司董事法律責(zé)任制度構(gòu)建的進(jìn)程，改善公司董事法律責(zé)任制度不齊備的現(xiàn)狀。 Inpresentcorporate,itis
